The turnleft mobile application and related website(s) (“turnleft”) are operated by Azure Network ltd. (hereafter referred to as “we” or “us”). By using the provided services in any way, the user (hereafter referred to as “you”) acknowledges the reading, understanding and agreement to be bound by the following Terms and Conditions of Service (“Agreement”), including any future alterations that may be made to the Agreement, without limitation or qualification. If you do not wish to be bound by this Agreement, including the turnleft Privacy Policy, please do not use turnleft. For questions concerning this Agreement or the adjacent Privacy Policy (referenced in point three), please feel free to contact us by email: info@turnleftapp.com.

Please note that this Agreement and adjacent Privacy Policy are in accordance with and are governed by law in the nation of incorporation; that is England. Thus any potential disputes shall be dealt with under English law, regardless of your own or your device’s location, national allegiance or citizenship.

  1. Who may use turnleft

Only persons sixteen (16) years or older may use turnleft and any of its related services. You hereby affirm that you are aged sixteen (16) years or over and you have the capacity and right to adhere to the terms and conditions of service set forth in this Agreement. By using turnleft, you represent and warrant that you are not required to register as a sex offender with any entity.

  1. Usage license

Subject to the terms and conditions of service set forth in this Agreement, we grant you a non-exclusive, non-transferable, revocable license to use turnleft for your own personal, non-commercial purposes; this license may not be assigned, sold or sublicensed to anyone else.

You hereby agree not to disassemble, modify, reverse engineer, reproduce, create derivative works from, sell, redistribute or decompile Turnleft. Any rights not expressly granted through use of Turnleft are reserved.

  1. Privacy

You acknowledge that any information we collect about you will be used according to our Privacy Policy (www.turnleftapp.com/privacy), which forms a part of this Agreement.

  1. Account: Sign-up

In order to use our services, you must use your LinkedIn profile to register an account and thereby authorise us to access certain information from your LinkedIn profile. By permitting access to your LinkedIn account, you expressly acknowledge and agree that we may obtain and share information including, but not limited to, your name, profile picture, job information and summary, as set forth in the adjacent Privacy Policy.   1. Account: Termination

You acknowledge that we have the right to delete, terminate, suspend or disable your account at any time, without notice, in any of the following instances:

  1. i) We believe you to have infringed any of the terms set out in this Agreement.

  1. ii) We consider your behaviour whilst using turnleft and/or related services to be uncivil or unlawful.

iii) We believe your behaviour to be detrimental to the running, furtherance and good image of turnleft.

  1. iv) We receive reports of bad behaviour from other turnleft users.

You hereby acknowledge that we take no responsibility whatsoever for any loss or damage incurred by you as a result of the deletion, termination, suspension or disablement of your account, be it with or without prior notice.

You acknowledge that any suspected fraudulent, abusive or illegal activity may be referred to the appropriate law enforcement authorities.

  1. Disclaimers, no warranties and limitation of liability

As a user, you acknowledge, understand and, where possible, agree and accept that:

  1. i) You are solely responsible for your use of turnleft (and any of its related services) and your virtual or physical interactions with any other individual(s), whether directly or indirectly through the use of turnleft.

  1. ii) You must take all reasonable precautions when interacting with other turnleft users, especially if meeting offline or in person. These may include, but might not be limited to, meeting during daytime, meeting in a public place, meeting where other people are around.  (For your information, there exists lots of information when searching online for ‘precautions for meeting someone online’, such as https://www.getsafeonline.org.)

Furthermore, you understand that we are not involved in any interaction between users, online or offline, so you are solely responsible for anything that may happen as a result of your interaction with other users, whether directly or indirectly related to your use of turnleft and its related services.

iii) Aside from the requisite account set-up through LinkedIn, we presently make no inquiry into the background of each of our users and thus cannot verify the information made available by users. You understand that we do not conduct any kind of criminal checks on our users, but that we reserve the right to raise any concerns over inappropriate usage with relevant law enforcement professionals at any time. If you suspect inappropriate behaviour, we advise you to contact us providing us with as much information as possible about the user in question.

  1. iv) We make no warranties or representations concerning the conduct or authenticity of users. Under no circumstances shall we be liable for any damages you or any third party might incur, which are caused by yourself or any other person, that may be in any way related to any kind of use, be it direct or indirect, of turnleft and/or its related services.

  1. v) Any turnleft software and related services (whether third-party or not) are provided “as is”; without warranty of any kind, express or implied, including, but not limited to, suitability for a particular purpose, merchantability and non-infringement.

  1. vi) We try our best to ensure that turnleft and any related services have all inefficiencies removed from the software, including, but not limited to, viruses and bugs, in pursuit of the service’s furtherance and betterment. We do, however, make no representation or warranty for this and your use of turnleft and any of its related services is thus at your own risk. We take no responsibility whatsoever for any damage that may be caused to any of your devices as a result of downloading, running or using turnleft or any of its related services, directly or indirectly.

vii) We make no warranty that turnleft will be uninterrupted or error-free.

  1. Licences Granted By You

You grant us an irrevocable, eternal, non-exclusive, royalty-free licence and right to copy, transmit, distribute and publicly display (through all current and future media) and produce derivative works from, your content. You grant all users of turnleft, where relevant, to view your content for their personal, non-commercial purposes. If you make suggestions to us concerning the furtherance, betterment or addition of new features to turnleft, we have the right to use your suggestions without the requirement of pecuniary or non-pecuniary compensation.

  1. Third Parties

Turnleft may include links to other websites or services (“Third Party Services”). You acknowledge that we have no control over the content and running of Third Party Services and therefore make no warranties or representations for their suitability for a particular user. All use of Third Party Services is at your own risk.

You understand that we shall not be responsible for any loss or damage as a result of your interactions with Third Party Services or advertisers made accessible through turnleft (and any of its related services). You shall indemnify, defend and consider harmless from any loss, liability, claim or demand, turnleft, its affiliates, directors, employees and agents from any Third Party action that i) arises from any violation by you of any of this Agreement’s terms, or ii) asserts that anything you submit to turnleft violates law or infringes upon any Third Party right, be it to do with intellectual property or privacy rights.

  1. Content restriction

You acknowledge that you are solely responsible for any content you upload to turnleft or make accessible and public to other turnleft users. You hereby agree that:

  1. i) You will not infringe any laws relating to copyright or protection whilst using turnleft or any of its related services.

  1. ii) You will not upload or make publicly visible to other turnleft users any pornographic, obscene, profane, sexually orientated, harassing, offensive, provoking, defamatory or libellous material.

iii) You shall not submit any false information that might result in illegal, threatening or abusive behaviour.

  1. iv) You shall not behave in a threatening, abusive or otherwise unwanted manner towards any turnleft user or us and shall not harass or stalk another person.

  1. v) All information you make publicly available to other turnleft users is correct, to the best of your knowledge.

  1. vi) You shall not imitate or pretend to be another person in any way, or reasonably let your profile be imitated by another person who might impersonate you.

vii) You shall not submit any material that infringes upon or violates another user’s rights, be it to do with rights concerning intellectual property, privacy or publicity.

viii) You shall not submit content promoting hatred or physical harm of any nature against any individual or group. It is forbidden to submit material exploiting minors in a sexual or violent manner. We do not knowingly allow anybody under the age of 16 to use turnleft, however if you believe a user to be under the age of 16, it is forbidden to solicit their personal information and you should report the user to us via our email address.

  1. ix) Any material relating to the following topics is not permitted: illegal weapons; violation of another user’s privacy; producing computer viruses; unauthorised promotion of another’s copyrighted work; solicitation of passwords or personal-identifying information for illegal or commercial purposes; engagement in commercial activities without our prior written consent such as contests, barter, advertising or pyramid schemes.

  1. x) You shall not distribute or transmit ‘chain letters’, ‘spam’ or ‘junk mail’ or unsolicited ‘spamming’ or mass mailing, be it manually or through an automated process such as, but not limited to, a robot.

Furthermore, your use of our service must at all times be in accordance with all relevant and applicable laws, rules and regulations in the country of use. All users are solely responsible for the content they upload to and make publicly available on turnleft; Azure Network LTD. takes no responsibility whatsoever for users’ content.

  1. Amendment

This Agreement is subject to change by Azure Network ltd at any time. As mentioned above, you understand that future alterations may be made to the Agreement, without limitation or qualification, and should be mindful that this Agreement and adjacent Privacy Policy may be updated without direct notification to you. We recommend that you regularly check the Terms and Conditions of service to inform yourself of any changes.

  1. Other

If any provision of this Agreement is held invalid by English law, the remainder of this Agreement shall continue in full force and effect. The failure of Azure Network ltd. to exercise or enforce any right of provision of this Agreement shall not constitute a waiver of such right or provision.
